1. Introduction

Kemon Digital provides AI-powered ecommerce intelligence and execution services. Our product suite includes market intelligence, content creation, ecommerce management, and strategic consulting for businesses. The specific scope, deliverables, and timelines for any engagement will be set out in a separate service agreement or proposal between you and Kemon Digital.

3. Eligibility

Our Services are designed for business-to-business (B2B) use. By using our Services, you represent that you are acting on behalf of a business entity and have the authority to bind that entity to these Terms. You must be at least 18 years of age to use our Services.

4. User Obligations

• Provide accurate and complete information when using our Services or submitting enquiries
• Use the Services only for lawful purposes and in accordance with these Terms
• Not attempt to gain unauthorised access to our systems, platforms, or data
• Not reproduce, duplicate, copy, sell, or resell any part of our Services without our express written permission
• Maintain the confidentiality of any account credentials or access details provided to you

5. Intellectual Property

All content, materials, software, designs, and intellectual property on our website and within our Services are owned by or licensed to Kemon Digital. You are granted a limited, non-exclusive, non-transferable licence to access and use the Services for their intended purpose. Unless otherwise agreed in a separate service agreement, all intellectual property created by Kemon Digital during an engagement remains the property of Kemon Digital until full payment is received.

6. Payment Terms

Payment terms, pricing, and billing schedules for our Services will be outlined in a separate service agreement or proposal. Unless otherwise stated, all fees are quoted in the currency specified in the relevant agreement and are exclusive of any applicable taxes. Late payments may incur additional charges as specified in the service agreement.

7. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of an engagement. This includes business strategies, data, reports, analytics, and any other information that is not publicly available. This obligation of confidentiality survives the termination of any agreement between the parties.

8. Limitation of Liability

To the fullest extent permitted by law:

• Kemon Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services
• Our total aggregate liability for any claims arising from or related to the Services shall not exceed the total fees paid by you to Kemon Digital in the twelve (12) months preceding the claim
• We do not guarantee specific business outcomes, results, or return on investment from the use of our Services. All projections, forecasts, and analyses provided are based on available data and are for informational purposes only

9. Disclaimer of Warranties

Our Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

10. Termination

Either party may terminate a service engagement in accordance with the terms set out in the applicable service agreement. We reserve the right to suspend or terminate your access to our website or Services at any time if you breach these Terms, without prior notice. Upon termination, your right to use the Services ceases immediately.

11. Indemnification

You agree to indemnify and hold harmless Kemon Digital, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Services or your breach of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Any changes will be posted on this page with an updated effective date. Your continued use of our Services after changes are posted constitutes your acceptance of the revised Terms.
